These terms govern your use of SpotiMP3. They explain what the Service is, what you are responsible for, and the limits of our liability. Please read them carefully — by using SpotiMP3 you agree to them.

01Agreement to these terms

These Terms of Service ("Terms") are a binding agreement between you and SpotiMP3 ("we", "us", "our") governing your access to and use of the SpotiMP3 website and services (the "Service").

By accessing or using the Service you confirm that you accept these Terms and agree to be bound by them. If you do not agree to any part of these Terms, you must not access or use the Service.

You must be at least 16 years old, or the age of digital consent in your jurisdiction if higher, to use the Service. By using the Service you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.

02What the Service is

SpotiMP3 is a general-purpose audio conversion tool. It takes a link you supply and produces an audio file in a format you select.

We are an independent service. We are not affiliated with, endorsed by, sponsored by, or in any way officially connected to Spotify AB or any of its subsidiaries or affiliates. "Spotify" and all related marks are trademarks of their respective owners and are used here only descriptively, to identify the type of link the Service accepts.

We do not host, store, own, licence, upload or distribute any music or other copyrighted content. We do not operate a music library and we do not provide a catalogue of works. The Service acts solely as a technical tool that processes a request you initiate.

03Your responsibility for what you convert

You are solely and exclusively responsible for the content you choose to convert and for how you use the resulting files. This is the most important provision of these Terms.

You represent and warrant that, for every use of the Service, you either own the content, hold all necessary rights and permissions, or are otherwise permitted by law to make the copy you are requesting. Depending on where you live, that may include your own recordings, works in the public domain, works released under a permissive licence, or copies permitted by a personal-use or private-copying exception.

Copyright law differs significantly between countries. It is your responsibility — not ours — to determine whether your particular use is lawful in your jurisdiction, and to comply with the terms of any third-party service you obtain links from.

You agree that you will not use the Service to infringe any copyright, moral right, database right, trademark or other intellectual property right, and that you will not redistribute, share, publish, broadcast or commercially exploit any file you obtain unless you are legally entitled to do so.

04Acceptable use

You agree not to, and not to attempt to:

  • use the Service for any unlawful purpose, or in breach of any applicable law, regulation or third-party terms;
  • use the Service to infringe the intellectual property rights of any person;
  • resell, sublicense, rent, or commercially redistribute the Service or files obtained through it;
  • access the Service by automated means, including scraping, crawling, bots or scripts, or circumvent any rate limit, quota, queue or access control;
  • reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying components of the Service, except to the extent this restriction is prohibited by applicable law;
  • interfere with, disrupt, overload, or attempt to gain unauthorised access to the Service, its servers, or any connected network or system;
  • introduce any malware, or use the Service to transmit anything harmful, unlawful, or infringing;
  • misrepresent your identity, impersonate any person or entity, or falsely state your affiliation with any person or entity; or
  • use the Service in any way that could damage, disable, or impair it, or expose us to legal liability.

We may investigate any suspected breach and may suspend or terminate your access immediately, without notice and at our sole discretion, if we believe you have breached these Terms or created risk or legal exposure for us or others.

06Plans, payment and refunds

The Service offers a free tier and optional paid plans ("Prime" and "Lifetime"). Paid plans unlock additional features such as higher-bitrate and lossless output. Prices are shown on the pricing page and are stated in US dollars unless indicated otherwise. You are responsible for any taxes that apply to you.

Prime is a recurring subscription. It renews automatically at the interval shown at checkout until you cancel. You may cancel at any time, and cancellation takes effect at the end of the period you have already paid for. Lifetime is a single payment for continued access to the paid features for as long as we operate the Service.

"Lifetime" refers to the operational lifetime of the Service and does not constitute a guarantee that the Service will be offered for any particular period of time.

Except where a refund is required by applicable consumer law, payments are non-refundable, and we do not provide refunds or credits for partial periods, unused features, or periods in which you did not use the Service. We may change our prices at any time; changes will not apply retroactively to a period you have already paid for.

07Availability and changes to the Service

The Service is provided on an "as available" basis. We may modify, suspend, limit, or discontinue the Service or any feature, in whole or in part, at any time and without notice or liability to you.

We do not guarantee that the Service will be uninterrupted, timely, secure, error-free, or that any specific conversion will succeed, complete, or produce a particular quality of output. Free-tier usage may be rate limited or restricted at our discretion.

08Disclaimer of warranties

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", with all faults and without warranty of any kind.

We expressly disclaim all warranties and conditions, whether express, implied, statutory or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, and non-infringement, and any warranties arising out of course of dealing or usage of trade.

We make no warranty that the Service will meet your requirements, that any content you obtain through it is lawful for you to obtain, or that defects will be corrected. You use the Service entirely at your own risk and discretion, and you are solely responsible for any resulting loss or damage, including to your device or data.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In that case, our warranties are limited to the minimum extent permitted by law.

09Limitation of liability

To the maximum extent permitted by applicable law, in no event will we, our officers, directors, employees, contractors, agents, suppliers or licensors be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunity, arising out of or in connection with your use of, or inability to use, the Service — whether based in contract, tort (including negligence), strict liability or any other legal theory, and whether or not we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total amount you actually paid us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) fifty US dollars (US$50).

These limitations apply even if a limited remedy is found to have failed of its essential purpose, and they form an essential basis of the bargain between you and us.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

10Indemnity

You agree to indemnify, defend and hold harmless SpotiMP3 and its officers, directors, employees, contractors and agents from and against any and all claims, demands, actions, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use or misuse of the Service; (b) your breach of these Terms; (c) your violation of any law or regulation; or (d) your infringement or alleged infringement of any third-party right, including any intellectual property right.

We reserve the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, at your expense, and you agree to cooperate with our defence of such claim.

12Termination

We may suspend or terminate your access to the Service at any time, for any reason or no reason, with or without notice, including if we believe you have breached these Terms.

You may stop using the Service at any time. Any provision of these Terms which by its nature should survive termination will survive, including the sections on your responsibility for what you convert, disclaimers, limitation of liability, and indemnity.

13Changes to these terms

We may revise these Terms at any time. When we do, we will update the "last updated" date at the top of this page. Material changes will take effect when posted, and your continued use of the Service after that point constitutes acceptance of the revised Terms.

You are responsible for reviewing these Terms periodically. If you do not agree with any revision, you must stop using the Service.

14Severability and entire agreement

If any provision of these Terms is held to be invalid, illegal or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. These Terms constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.
